Terms & Conditions

These Terms & Conditions (also called “Terms”) govern your access to and use of Tektolabs’ website, software, IoT services, and any related tools, dashboards, or communication channels (collectively, the “Services”). By interacting with us, submitting inquiries, or using any portion of our Services, you agree to these Terms.

1. Definitions

“You” / “User” / “Client” means any person or entity accessing or using the Services.
“Tektolabs” / “We” / “Us” refers to Tektolabs and its affiliates providing the Services.
“Content” means any text, images, designs, code, or data you submit via the Services.
“Dashboard” / “Platform” refers to any web or software interface we provide to you.
“Third-party tools” means external services or integrations (e.g. payment processors, APIs) used together with our Services.

2. Acceptance of Terms

By accessing or using the Services, you accept and agree to be bound by these Terms. If you do not agree to all of these Terms, do not access or use the Services.

3. Eligibility & Account

You must have legal capacity to enter into contracts. You represent that you are at least 18 years old (or the age of majority in your jurisdiction).

If we require you to register for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and all activity under your account.

4. Use of Services & Restrictions

You agree to use the Services only for lawful purposes and in compliance with applicable laws. You must not:

• Interfere with, disrupt, or compromise the security of the Services.
• Use the Services to transmit spam, malware, or malicious content.
• Reverse engineer, decompile, or derive source code (except to the extent permitted by law).
• Use the Services in a way that violates others’ rights.
• Allow others to use your account or share credentials.

5. Intellectual Property

All intellectual property rights in the Services (software, designs, graphics, documentation, etc.) remain with Tektolabs or its licensors.

When you submit Content (such as via inquiries, project descriptions, or integrations), you grant us a non-exclusive, royalty-free license to use, reproduce, modify, or display it solely to provide the Services and support your requests.

6. Payment, Fees, & Billing

If any of our Services are paid or subscription-based:

• You agree to pay all applicable fees in accordance with the schedule and terms you selected.
• Fees are non-refundable except where required by law or expressly stated.
• Failure to pay may result in suspension or termination of the provision of Services.

7. Modifications to Services & Terms

We may change, suspend, or discontinue any portion of the Services at any time, with or without notice.

We may also revise these Terms. We will post the updated Terms at this location and update the “Last Modified” date. Continued use after such changes means you accept the new Terms.

8. Disclaimer & Limitation of Liability

The Services are provided **“as is”** without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, Tektolabs is not liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits, data, or business interruption arising from your use of the Services, even if advised of the possibility of such damages.

In any case, our total liability under these Terms shall not exceed the amount you paid (if any) for the Services in the 12 months preceding the claim, or ₹ xxx (INR) if no payment was made.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tektolabs, its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your violation of these Terms.
• Your use of the Services.
• Your infringement of any third-party rights.

10. Termination

Either party may terminate these Terms by ceasing use of the Services.

Upon termination, you must stop using the Services and we may choose to delete or suspend your access to Content or your account. Some provisions (such as Intellectual Property, Indemnification, Limitation of Liability) survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes will be resolved in the courts located in Kerala, India, unless we mutually agree otherwise.

12. Miscellaneous

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.

Severability: If any provision is invalid or unenforceable, the remainder of the Terms remain in force.

No Waiver: Failure to enforce any right does not constitute a waiver of that right later.

Entire Agreement: These Terms constitute the full agreement between you and Tektolabs regarding the Services, superseding any prior agreements.
